Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of the ZenFix platform, including the Zoe SMS assistant service and all related features (collectively, the “Service”), provided by ZenFix (“Company,” “we,” “us,” or “our”).

By creating an account, accessing the Service, or clicking “I Agree,” you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree, do not use the Service.

2. Description of Service

ZenFix provides property managers with an AI-powered platform to automate tenant communication, maintenance coordination, and property management workflows. The Service includes:

  • Zoe SMS Assistant: an AI-powered SMS chatbot that communicates with tenants on behalf of property managers via Twilio-powered SMS;
  • Property Management Dashboard: a web interface for managing properties, units, tenants, and maintenance tickets;
  • Billing and Financial Tools: tools for tracking rent, contractor payments, and billing status;
  • API and Integrations: programmatic access to the ZenFix platform.

3. SMS Messaging Program — Key Disclosures

Program name: ZenFix SMS Notifications

Description: ZenFix sends automated SMS notifications to tenants and property managers for maintenance request updates, appointment reminders, rent reminders, and property alerts.

How to subscribe: Text START or ZEN to our designated number. The opt-in keyword and phone number are displayed within the ZenFix tenant portal and in the welcome email sent upon account creation. Upon texting the keyword you will receive a confirmation message before any other messages are sent.

Message frequency: Message frequency varies. Tenants may receive messages in response to their own inquiries, plus property notices. Typical frequency is 1-10 messages per week per active conversation.

To opt out: Reply STOP to any message at any time. You will receive one final confirmation and will receive no further messages. Reply START to re-subscribe.

Msg & Data rates may apply. Standard mobile carrier messaging and data rates apply to all SMS messages sent and received.

No third-party sharing: Mobile opt-in data and consent information will not be shared with third parties or affiliates for marketing or promotional purposes. See our Privacy Policy.

Carriers: Supported carriers include AT&T, T-Mobile, Verizon, Sprint, and most major US carriers. Carrier is not liable for delayed or undelivered messages.

4. Accounts and Registration

4.1 Eligibility

You must be at least 18 years old and have the legal authority to enter into a binding agreement to use the Service. By using the Service, you represent that you meet these requirements.

4.2 Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account at hello@zenfix.ai.

4.3 Accuracy

You agree to provide accurate and complete information when creating your account and to keep such information current.

5. Property Manager Obligations

As a property manager using ZenFix, you agree to:

  • Obtain proper consent: Obtain express written consent from each tenant before enrolling their phone number in the ZenFix SMS program, consistent with TCPA requirements.
  • Honor opt-outs: Never circumvent STOP requests. Once a tenant opts out, do not re-enroll them without their renewed express written consent.
  • Accurate tenant data: Provide accurate property and tenant information. Do not upload phone numbers of individuals who have not consented.
  • Lawful use: Use the Service only for lawful property management purposes and not for spam, harassment, or any purpose that violates applicable law.
  • Compliance: Comply with all applicable laws, including TCPA, CAN-SPAM, state consumer protection laws, landlord-tenant statutes, and fair housing laws.

6. Prohibited Conduct

You agree not to:

  • Use the Service to send unsolicited commercial messages (spam);
  • Harass, threaten, or intimidate tenants or third parties via the SMS service;
  • Upload or transmit false, misleading, or defamatory content;
  • Attempt to gain unauthorized access to any part of the Service;
  • Circumvent opt-out requests or re-enroll opted-out numbers without consent;
  • Reverse engineer, decompile, or attempt to extract source code from the Service;
  • Resell or sublicense the Service without our written permission;
  • Violate any applicable law or regulation in connection with your use of the Service.

7. Fees and Payment

7.1 Subscription Fees

ZenFix offers subscription plans with fees as described on our pricing page or in your order form. All fees are in US dollars and are non-refundable except as expressly stated in these Terms.

7.2 Free Trial

We may offer a free trial period. After the trial ends, you will be charged the applicable subscription fee unless you cancel before the trial expiration.

7.3 Billing

Subscription fees are billed in advance on a monthly or annual basis via Stripe. By providing payment information, you authorize us to charge your payment method on a recurring basis.

7.4 Price Changes

We reserve the right to change subscription fees upon 30 days' written notice. Continued use of the Service after the effective date constitutes acceptance of the new fees.

8. Intellectual Property

8.1 ZenFix IP

The Service, including its software, design, AI models, and content, is owned by ZenFix and protected by copyright, trademark, and other intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the Service for your internal property management purposes.

8.2 Your Content

You retain ownership of data and content you submit to the Service (“Your Content”). You grant ZenFix a worldwide, non-exclusive license to host, process, and use Your Content solely to provide the Service.

9. Privacy and Data

Our collection and use of personal information is governed by our Privacy Policy. By using the Service, you agree to our data practices as described therein.

10. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Service will be uninterrupted or error-free.

ZenFix does not warrant that SMS messages will be delivered, that the AI responses provided by Zoe will be accurate or appropriate for all situations, or that the Service will meet your specific requirements.

11. Limitation of Liability

To the maximum extent permitted by applicable law, ZenFix shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption, arising from your use of or inability to use the Service.

In no event shall ZenFix's total liability to you exceed the greater of (a) the amount you paid to ZenFix in the three (3) months preceding the claim or (b) $100 USD.

12. Indemnification

You agree to indemnify, defend, and hold harmless ZenFix and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law; or (d) your failure to obtain proper tenant consent for SMS messaging.

13. Termination

13.1 By You

You may cancel your account at any time through your account settings or by contacting us at hello@zenfix.ai. Cancellation takes effect at the end of the current billing period.

13.2 By ZenFix

We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or for any other reason with or without notice. Upon termination, your right to access the Service ceases immediately.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any dispute arising from these Terms or the Service shall be resolved by binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction. You waive any right to participate in a class action lawsuit.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice in the Service. Your continued use after changes are effective constitutes acceptance of the updated Terms.
